1. About These Terms

These Terms of Service govern your use of the AlgoBridge Ai website (venussai.com and related domains) and any services provided by Sri Saamba Parmeshwara Industries Private Limited ("AlgoBridge Ai", "we", "us", "our"), a company incorporated under the laws of India.

By accessing our website or engaging us for services, you agree to these terms. If you do not agree, please do not use our website or services.

2. Services

AlgoBridge Ai provides AI automation consulting, design, and implementation services for commerce and D2C brands. The specific scope, deliverables, timeline, and payment terms for any engagement are set out in a separate written proposal or Statement of Work ("SOW") signed by both parties. These Terms apply in addition to any SOW.

3. Use of the Website

You agree to use this website only for lawful purposes. You must not:

• Attempt to gain unauthorised access to any part of our website or its underlying infrastructure.
• Scrape, copy, or redistribute our content without prior written permission.
• Use the website in a way that could impair its performance or disrupt other users.
• Submit false or misleading information through any contact form.

4. Intellectual Property

All content on this website — including text, design, graphics, and code — is owned by or licensed to Sri Saamba Parmeshwara Industries Private Limited. You may not reproduce, distribute, or create derivative works without our express written consent.

Work product created specifically for a client under a signed SOW is governed by the IP ownership provisions in that SOW.

5. Payment and Refunds

Payment terms are specified in each SOW. Generally:

• Project-based engagements require 100% advance payment before work begins.
• Retainer fees are billed monthly in advance.
• All fees are non-refundable once the relevant milestone or month has commenced, except where we fail to deliver as agreed.
• Invoices unpaid after 14 days attract interest at 2% per month.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during an engagement. This obligation survives termination of the engagement for a period of two (2) years.

7. Limitation of Liability

To the maximum extent permitted by law, AlgoBridge Ai's total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

We are not liable for any indirect, incidental, special, or consequential losses, including lost revenue, lost profits, or business interruption.

8. Disclaimers

Results from AI automation vary by business context and are not guaranteed. We apply industry best practices and our operational experience, but cannot guarantee specific revenue outcomes, conversion rates, or efficiency gains.

This website is provided "as is" without warranties of any kind.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Work completed up to the termination date is billable. Retainer agreements may be terminated with 30 days' written notice at the end of a billing cycle.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of our website after an update constitutes acceptance of the revised terms.
